Welcome to HealthcareHop. These Terms of Service (“Terms“) constitute a legally binding agreement between you and the operator of HealthcareHop (“we,” “us,” or “our“) governing your access to and use of our website and related services (collectively, the “Site” or “Services“). By accessing or using the Site, you agree to be bound by these Terms, our Privacy Policy, our Content Policy, and our Disclaimer, each incorporated herein by reference. If you do not agree, do not use the Site.

1. Eligibility and Accounts

You must be at least eighteen (18) years of age to create an account or submit content. You represent that the information you provide is accurate and that you will keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use.

2. Description of the Services; No Professional Relationship

HealthcareHop provides a platform for nurses to share workplace experiences and for facilities to respond where applicable. The Site does not provide medical, legal, or employment advice and does not act as a staffing agency, recruiter, or regulatory authority. Important limitations, disclaimers of warranties, and limitations of liability are set forth in our Disclaimer, which forms part of these Terms.

3. License Grant and Representations (User-Generated Content)

Nurses may submit reviews and related content; verified facility representatives may submit official responses. By submitting content to the Site, you grant HealthcareHop a non-exclusive, royalty-free, perpetual, irrevocable (except as limited by law), sublicensable, worldwide license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use such content in connection with operating, promoting, and improving the Services. You retain ownership of your content subject to the license above.

You represent and warrant that: (a) you have all rights necessary to grant the foregoing license; (b) your content complies with these Terms and the Content Policy; (c) your content does not infringe any third party’s rights or violate applicable law; and (d) nurse reviews are based on your genuine personal experience at the facility discussed.

4. Prohibited Content and Conduct

You agree not to post content or engage in conduct that: (a) includes Protected Health Information (PHI), patient identifiers, or personally identifiable patient data; (b) is defamatory, knowingly false, fraudulent, or materially misleading; (c) constitutes harassment, threats, hate speech, or discrimination; (d) violates any applicable law, regulation, or contractual duty; (e) infringes intellectual property or proprietary rights; or (f) attempts to manipulate ratings or reviews (including through multiple accounts, incentives, or coordinated inauthentic behavior). 5. Facility Listings and User-Submitted Facilities

Directory information may be submitted by users or compiled from public sources. You agree that facility listings you submit are accurate to the best of your knowledge and do not misappropriate third-party data. We may edit, merge, or remove listings for quality, duplication, or compliance reasons.

6. Facility Claims

Facility representatives may submit a claim to manage a listing. HealthcareHop reserves the right to approve, reject, suspend, or revoke claims at its sole discretion. Successful verification does not imply endorsement by HealthcareHop. Claiming a facility does not authorize removal of lawful, good-faith reviews that comply with these Terms.

7. Moderation and Enforcement

We reserve the right to review, flag, edit, refuse to publish, or remove any content that we reasonably believe violates these Terms, the Content Policy, or applicable law, at any time and without prior notice, subject to mandatory legal obligations. Repeated or egregious violations may result in suspension or termination of your account.

8. Intellectual Property

Except for user-submitted content, the Site and its original features, branding, and software are owned by HealthcareHop or its licensors and are protected by intellectual property laws. You may not copy, scrape, reverse engineer, or exploit the Site except as expressly permitted by us in writing or as required for ordinary personal browsing.

9. Third-Party Links and Services

The Site may contain links to third-party websites or resources. We do not control and are not responsible for third-party content or practices. Your use of third-party services is at your own risk and subject to their terms and policies.

10. Dispute Resolution Regarding Reviews

If a facility representative believes a review violates these Terms or the Content Policy, they may flag it for administrative review. We will evaluate flagged content in good faith within a reasonable timeframe. We are not obligated to remove content merely because it is negative or disputed, unless removal is required by law or consistent with our policies.

11. Disclaimers; “As Is”

EXCEPT AS PROHIBITED BY LAW, THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that user-generated content is accurate or complete. See the Disclaimer for additional detail.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, in no event shall HealthcareHop, its affiliates, or their respective directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from your use of the Site or reliance on any content, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages. Our aggregate liability for claims arising out of or relating to the Site shall not exceed the greater of (a) one hundred U.S. dollars (US$100) or (b) the amounts you paid us, if any, for the Services giving rise to the claim during the six (6) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless HealthcareHop, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your content or your use of the Site; (b) your violation of these Terms or applicable law; or (c) your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without cause or notice. Provisions of these Terms that by their nature should survive (including licenses granted to us for content submitted prior to termination, disclaimers, limitations of liability, indemnity, and governing law) shall survive termination.

15. Governing Law; Venue

These Terms shall be governed by the laws of the United States and the State of Oklahoma, without regard to conflict-of-law principles, except that mandatory consumer protection laws in your jurisdiction may apply to the extent they cannot be waived. You agree that exclusive jurisdiction for any dispute arising out of these Terms or the Site shall lie in the state and federal courts located in the State of Oklahoma, and you consent to personal jurisdiction there, subject to any non-waivable rights you may have to bring claims in your home jurisdiction.

16. General

These Terms, together with the Privacy Policy, Content Policy, and Disclaimer, constitute the entire agreement between you and HealthcareHop regarding the subject matter hereof. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver. We may assign these Terms without restriction; you may not assign your rights without our prior written consent.

17. Changes to These Terms

We may modify these Terms at any time. We will post the updated Terms on the Site and update the “Last updated” date. Where required by law, we will provide additional notice. Your continued use of the Site after changes become effective constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Site.
